1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Client", "User", or "You") and Bhatiserve Technologies Private Limited ("Bhatiserve", "Company", "We", or "Us"), an Indian entity registered under the Companies Act, 2013, with offices in Rajasthan, India.

By accessing our website (https://bhatiserve.com), submitting consultation requests, or engaging our engineering services through Statements of Work (SOWs), you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Technical Scope & Technology Service Framing

Bhatiserve is a custom software engineering and digital infrastructure integration provider. We design, build, test, and maintain digital software solutions including:

• Custom API orchestration layers and payment gateway integration software.
• Multi-vendor marketplace platforms, seller management portals, and split-order logic.
• Enterprise Resource Planning (ERP) systems, multi-warehouse inventory, and HRMS tools.
• Custom React, Next.js, and mobile applications (iOS/Android).

Mandatory Regulatory Notice: Bhatiserve is NOT a bank, payment aggregator, or licensed financial institution. Payment collections, payout executions, escrow custodianship, and financial settlements are conducted strictly by authorized banks and licensed payment aggregators in compliance with RBI guidelines.

3. Intellectual Property Rights & Code Ownership

Custom Client Deliverables: Unless otherwise specified in a custom Master Service Agreement (MSA), all custom software code, database schemas, and interface designs engineered specifically for the Client shall transfer entirely to the Client upon full settlement of contracted milestone invoices.

Company Pre-Existing IP: Bhatiserve retains full ownership of its pre-existing proprietary software frameworks, reusable architectural boilerplate, libraries, and design assets ("Background IP"). The Client is granted an irrevocable, perpetual, non-exclusive license to utilize such Background IP embedded within their deliverables.

4. Client Responsibilities & Acceptable Use

The Client agrees to:

• Provide timely technical access, feedback, and necessary documentation required for project delivery.
• Ensure all client-provided assets, logos, and content do not infringe upon any third-party intellectual property or copyright laws.
• Not use engineered software for illegal, fraudulent, deceptive, or unauthorized activities violating Indian or international statutes.

5. Milestone Payments, Invoicing & Taxes

Engineering projects are executed under structured milestone billing outlined in individual Statements of Work (SOW). All fees are quoted in Indian Rupees (INR) or applicable international currencies.

Invoices are subject to applicable statutory taxes (including Goods and Services Tax - GST in India). Invoices are payable within the net terms stipulated in the agreement (typically net 7 or net 15 days).

6. Warranties & Limitation of Liability

Bhatiserve warrants that software services will be performed in a professional, workmanlike manner in accordance with industry best practices and documented specifications.

To the maximum extent permitted by applicable Indian law, Bhatiserve's total aggregate liability arising out of or related to any project shall be limited strictly to the total fees actually paid by the Client to Bhatiserve for the specific deliverable giving rise to the claim in the twelve (12) months preceding the event. In no event shall Bhatiserve be liable for indirect, incidental, consequential, or punitive damages.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the substantive laws of the Republic of India. Any legal dispute, controversy, or claim arising out of or relating to these Terms or software agreements shall be subject to the exclusive jurisdiction of the competent courts located in Rajasthan, India.
